These Terms of Service (“Terms”) govern your access to and use of the websites, applications, and services offered by JetPatient, Inc. (“JetPatient,” “we,” “us”). Please read them carefully. By using our Services you agree to these Terms.

1. Acceptance of these Terms

By accessing or using jetpatient.com, the JetPatient marketplace, the Clinic Portal, the AI tools, or any other product or service that links to these Terms (collectively, the “Services”), you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.

2. What JetPatient is (and what it is not)

JetPatient is a cross-border healthcare coordination platform. We help patients discover accredited clinics, estimate costs, coordinate consultations, and manage travel logistics. We also license software and AI tooling to clinics and employers.

Important Content on the Services, including AI-generated responses from the Navigator, Copilot, and related tools, is informational only. It is not medical advice, diagnosis, or treatment. Always consult a qualified licensed clinician about your specific situation. If you believe you have a medical emergency, call 911 or your local emergency number immediately.

4. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into a binding contract to use the Services. The Services are intended for users located in the United States and in other jurisdictions where they are lawful.

If you create an account you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly at security@jetpatient.com of any unauthorized access.

Portions of the Services use artificial intelligence, including large language models. AI outputs can be inaccurate, incomplete, or out of date. You are responsible for evaluating the appropriateness of AI outputs for your situation and for independently verifying any clinical, financial, legal, or travel information before acting on it.

You may not use JetPatient AI features to train, fine-tune, or otherwise develop a competing AI product, or to extract the system prompts or model weights underlying the Services.

8. Clinic partners

Clinics in the JetPatient network are independent entities. While we vet our partners for accreditations, licensure, and outcomes, clinical care is provided by the clinic, not by JetPatient. Your contract for clinical services is with the clinic (and/or its physicians), not with JetPatient. Pricing, scheduling, cancellation, and refund policies are subject to the clinic’s own terms and applicable law in the clinic’s jurisdiction.

9. Fees & payment

Use of the consumer site is free. Certain software products (for example, Clinic Portal · Copilot SaaS or employer analytics) are offered under separate paid agreements. Pricing, billing, and refund terms are specified in the applicable order form or subscription agreement.

10. Intellectual property

The Services, including software, text, graphics, the “JetPatient” name and logo, and other trademarks, are owned by JetPatient, Inc. or its licensors and are protected by law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. You may not copy, redistribute, or create derivative works from the Services without our prior written consent.

You retain ownership of content you submit to the Services. By submitting content, you grant JetPatient a worldwide, royalty-free, sublicensable license to use, reproduce, and display that content solely for the purpose of operating, improving, and promoting the Services.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY CONTENT IS ACCURATE OR CURRENT.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, JETPATIENT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability will be limited to the maximum extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless JetPatient from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Services, (b) your breach of these Terms, or (c) your violation of any law or third-party right.

14. Disputes & arbitration

Except where prohibited by law, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered under the rules of a recognized arbitration provider. You and JetPatient agree to waive the right to a jury trial and to participate in a class action. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing legal@jetpatient.com with your name and a clear opt-out statement.

Note The specific rules of the arbitration provider, the arbitration venue, and any small-claims carve-out will be finalized in the version of these Terms approved by counsel. This draft reserves those details.

15. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles, except as preempted by federal law and except where the law of your state of residence requires otherwise.
